Definitions
In the Bitpanda TC, the following terms have the meanings specified or referred to in the following overview and shall be equally applicable to both the singular and plural forms.

Bitpanda Affiliates | means the affiliated Bitpanda companies, namely Bitpanda Metals GmbH and Financial Services GmbH |
Bitpanda Airdrop | means the distribution to E-Token to existing wallet addresses by Bitpanda itself. |
Bitpanda Fork Policy | means the principles attached to these Bitpanda TC in Annex II concerning so-called “forks”, which are accepted by Clients as part of the Bitpanda TC. |
Bitpanda Services | means the services set out in section 4.1 and 4.2 offered by Bitpanda GmbH, as well as other services that may be offered from time to time by Bitpanda Affiliates. |
Bitpanda System | means the application operated by Bitpanda accessible via the login banner of the Partner App. |
Bitpanda TC | means the general terms and conditions applicable to the business relationship between Bitpanda and its Clients, available under https://www.bitpanda.com/bts-bitpanda-terms. |
Bitpanda Technology Solution Partner or Partner | means Partner (such as banks) using Bitpanda’s B2B2C solution and making Bitpanda Services available to the Clients via the Partner App or web interface. |
Business Day | means all days of the year except statutory holidays in Austria, Saturdays, Sundays and the 24.12. |
CCOFA or Contract Conclusion and Order Fulfilment Action | means the acceptance of the Final Client Offer by way of a factual fulfilling of the offer (tatsächlicher Erfüllung des Angebots) within the Offer Period. |
Client/you | means a user who has created a Client Account. |
Client Account | means the Bitpanda account that is registered and created on the Bitpanda System |
Client Offer | means the binding offer of the Client to sell or buy (part of) Token(s) on the Bitpanda System. |
Client Offer Term | means the time period during which the conditions under which the Client made a Final Offer are valid. |
Client Verification Process | means the necessary process a Client must complete to gain access to the trading options on a Bitpanda System. |
Crypto-asset | assets used in particular with reference to crypto-assets that means cryptographic digital assets. |
Consumer Client | means any client who qualifies as a “consumer” as defined in the Consumer Rights Directive. |
Consumer Rights Directive | means Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights. |
Custodial Services | means the custodial services provided by Bitpanda GmbH of holding E-Token in custody for the Client on their behalf on a custodial basis. |
Custody Agreement | means the fiduciary agreement between the Client and Bitpanda GmbH regarding the custody of Token under the Bitpanda Custodial Services. |
Depositing and Withdrawal Limits | means the applicable depositing and withdrawal limits, which are available under https://www.bitpanda.com/en/limits |
E-Token | means a selected cryptographic digital asset offered on the Bitpanda System. |
Final Buy Offer | means each Final Client Offer made by clicking “Buy” and is to be interpreted and qualified exclusively as binding offer from the Client to Bitpanda to accept the receipt of Token from Bitpanda in exchange for payment of the specified amount. |
Final Client Offer | means the binding offer of the Client to sell or buy Token(s) on the Bitpanda System. |
Final Offer Click | means the process of clicking either the "Buy now" or "Sell now" button, after the Client filled in all necessary data to make a binding offer. |
Final Sell Offer | means each Final Sell Offer made by clicking “Sell” and is to be interpreted and qualified exclusively as a binding offer between the Client to Bitpanda to receive your requested amount in exchange for transfer of a specified amount and type of Token to Bitpanda. |
Financial Services TC | means the general terms and conditions of Bitpanda Financial Services GmbH, available under https://www.bitpanda.com/en/tech/financial-services-terms. |
Fork | means a situation in which a blockchain splits into two separate chains temporarily or permanently. |
M-Token | means physically vaulted precious metals such as, but not limited to, gold, silver, palladium and platinum. |
Metals TC | means the general terms and conditions of Bitpanda Metals GmbH, available under https://www.bitpanda.com/en/tech/metals-terms. |
Notice Period | means the period of 4 weeks after Clients have been informed about the termination of their Client Account. |
Offer Period | means the period of 24 hours after the respective Final Offer Click, during which the Client is bound by a Final Client Offer. |
Partner Account | means an active e-money account user has with a Bitpanda Technology Solution Partner. |
Partner App | means the mobile app or web interface operated by the Partner. |
Partner TC | means the terms and conditions applicable to the contractual relations between Partner and its clients, governing the Client’s use of the Partner Account and their access to Bitpanda Services. |
Services | means collectively the Broker Services as well as the Wallet and Custody Services offered by Bitpanda GmbH. |
Supported Digital Asset | means the catalogue of digital assets available on the Bitpanda System. |
Third Party Airdrop | means the free of charge distribution of Token to existing wallet addresses by persons other than Bitpanda. |
Third Party Services | means websites or services that are not provided by Bitpanda or Partner, but by third parties. |
Transition Period | means the 2 month period in which Clients who still have any assets on the Client Account after the termination of the business relationship are obliged to sell all assets. |
Wallet | means a single respective storing sub-account assigned to each individual Client used by Bitpanda System in its own token system. |

1. Introduction to these Product Terms
1.1 Scope. The following "Savings Plan Terms" set out the additional terms and conditions applicable when you decide to set up a "Savings Plan" for a Supported Digital Asset on the Bitpanda System defined in section 1.2 of the Bitpanda TC.
Contracting Party. The Bitpanda Savings Plan is offered by Bitpanda GmbH for E-Token, in cooperation with Bitpanda Financial Services GmbH for A-Token, Bitpanda Metals GmbH for M-Token.
In addition to the provisions set out in this document, the general provisions of the Bitpanda TC apply to your use of the Bitpanda System and any transaction conducted over the Bitpanda Platform via the Partner App.
1.2 Conflict of terms. In case of a conflict between the Bitpanda TC, other Affiliate TCs, and these Savings Plan Terms, these Savings Plan Terms shall prevail with regard to Savings Plan.
1.3 Definitions. The Definitions shall have the meanings ascribed to them in the Annex to these Savings Plan Terms (Definitions).
2. Setting up a Savings Plan
2.1 General. You can choose to set up a Savings Plan for certain Supported Digital Assets on the Bitpanda Platform.
2.2 Savings Offer. You can initiate a Savings Plan for a Supported Asset by making an "Offer" on the Bitpanda Platform to purchase a certain amount of a Supported Asset on a regular and recurring basis.
When you submit an Offer to enter into a Savings Plan, it is considered a request to enter into recurring transactions for the purchase of a specified Supported Digital Asset at the price as published at the time of execution on the Bitpanda System, funded through fixed recurring payments in fiat currency, as determined by you and settled via your Partner Account. in exchange for the making of recurring fixed payments, in an amount determined by you, against fiat settled via the Partner Account.
When submitting an Offer to initiate a Savings Plan, you will specify the date and time for the execution of the first transaction, as well as the frequency, limited to the available intervals.
2.3 Transaction. Each time Bitpanda accepts your Offer to purchase a Supported Digital Asset in accordance with the offer process outlined in the Bitpanda TC, a Transaction is concluded.
2.4 Multiple Savings Plans. You may create and maintain multiple active Savings Plans, which are independent of each other. Each Savings Plan may only comprise a given type of Supported Digital Asset.
2.5 Rejection of an Offer of your Savings Plan. Each Offer submitted under a Savings Plan is evaluated independently and may be rejected on an individual basis. The rejection of a specific Offer will not impact the Supported Digital Assets acquired through previous Offers, and such prior purchases will remain valid and unaffected. If the required funds are not received via the recurring payment in time, the Savings Plan execution for that month will be skipped, and your Offer will be rejected. The respective amount of Fiat-Money will then be credited back to your Partner Account.
2.6 Cancellation. You must cancel your Savings Plan by following the instructions provided on the Bitpanda System.
2.7 No price stability. The prices displayed to you when making an Offer to initiate a Savings Plan may be subject to significant market fluctuations. The price, at the time of making an offer to initiate a Savings Plan, is not indicative of future prices. While the amount you spend remains consistent, the quantity of Supported Digital Assets you receive on a recurring basis may vary significantly.
3. Payment for Savings Plans
3.1 Payment method. You are required to instruct the Partner to make regular, fixed-amount payments from your Partner Account to Bitpanda GmbH, as the payee, at predetermined intervals (“Periodic Payment”). Additionally, you will revocably grant Bitpanda GmbH a mandate to collect payments due from the Partner on your behalf.
3.2 Collection of payments and notification. The time of collection of your payment from your Partner Account in respect of each of your Savings Plans is triggered up to ten days prior to the respective recurring Transaction under your selected Savings Plan. You will be notified of the payment amount and the debit dates by email after each payment has successfully been completed.
3.3 Execution Failure. If the execution of any Transaction under your Savings Plan is not possible, for whatever reason, no Supported Digital Asset will be credited to your wallet associated with your Bitpanda Account. This applies, if sufficient funds are not available in your Partner Account at the time of a scheduled payment, and the Partner reserves the right to reject the payment transaction accordingly.
3.4 Cancellation. You may cancel your Periodic Payment mandate via the Partner App and in accordance with the rules and procedures set by the Partner. Please note that, unless you cancel a Savings Plan in accordance with section 2.6, your Savings Plan will continue to operate after a cancellation or pause via the Partner App.
4. Fees
4.1 You incur trading fees in connection with each recurring Transaction when building your Savings Plan. No additional fees apply. The trading fee is percentage-based and varies depending on the day of fulfilment.

Savings Plan Terms | means this document. |
Savings Plan | means a series of similar Transactions, where each involves accepting the receipt of a specified Token on a recurring basis at the prevailing market rates, in exchange for a fixed recurring payment in a currency that is legal tender (Fiat-Money). |
Supported Digital Asset | means the assets that you can trade or invest in on the Bitpanda Platform via the Partner App. |
